1. Definitions

| "Ujrah" (أجرة) | An Islamic service fee paid to the Partner for mediation services (Wakala). Paid solely from the Company's income — never from any Client's funds. |
| "Wakala" (وكالة) | An Islamic agency contract in which one party (the Agent/Partner) acts on behalf of another (the Principal/SGT) to introduce clients, in exchange for a defined Ujrah. |

2. Shariah Basis — Wakala & Ujrah
SGT's partnership programme is structured on two well-established Islamic contracts:
2.1 Wakala (Agency Contract)
The Partner acts as an agent (Wakil) of SGT Systems. The Partner's role is to introduce prospective clients to the platform. By sharing their referral link, the Partner is performing a legitimate mediation service on behalf of SGT. This is permissible under Islamic law as an agency (Wakala) arrangement.
2.2 Ujrah (Service Fee)
In compensation for the mediation service, SGT pays the Partner an Ujrah — a clearly defined, pre-agreed service fee. The key Shariah-compliance features of this Ujrah are:
- Source: The Ujrah is paid exclusively from SGT's own income (management fees and platform commissions). It is never taken from a referred Client's capital, deposit, profit, or balance in any form.
- Condition: Ujrah is earned only when the Company itself earns income. If the Company earns nothing (e.g., a loss period in Mudarabah or Musharakah), no Ujrah is generated — removing any element of guaranteed income.
- Transparency: The base amount, the percentage applied, and the resulting Ujrah are all recorded and visible to the Partner in their dashboard.
- No Riba: The Ujrah is a flat service fee — not interest, not a percentage of Client capital, not compounding over time.
3. How the Partnership Works
4. Becoming a Partner
There is no application process or approval required to become a Partner. Every registered SGT user automatically has access to a unique referral link via the "Referral Programme" section of their dashboard.
- A Partner must have a fully verified (KYC-complete) SGT account.
- A Partner must be at least 18 years of age.
- By sharing their referral link, the Partner agrees to the terms of this Partnership Agreement.
- The Partner may promote SGT's services freely, provided they comply with Section 9 (Obligations) and Section 10 (Prohibited Conduct) of this Agreement.
5. Referral Network Structure
SGT operates a two-level referral network:
- Level 1 (Direct Referrals): Users who signed up using the Partner's own referral link. The Partner earns the L1 Ujrah rate on all Company income generated by these users.
- Level 2 (Indirect Referrals): Users who were referred by one of the Partner's L1 referrals. The Partner earns the (lower) L2 Ujrah rate on Company income generated by these users.
- Level 3 and beyond: No Ujrah is earned beyond Level 2. This prevents unsustainable pyramid-like structures and maintains Shariah compliance.
6. Ujrah (Commission) — Sources & Rates
Ujrah is calculated as a percentage of the Company's income only, according to the following default schedule. Individual Partners may be assigned custom rates by SGT administration:

Default rates are subject to change with 30 days' notice. Individual Partners may have negotiated custom rates which override the above defaults and are shown in their dashboard.
7. When Ujrah Is Earned
Ujrah is generated automatically by the system when the following events occur in a referred Client's account:
- Mudarabah profit distribution: When a Mudarabah cycle closes with a profit and SGT earns its management fee share.
- Musharakah profit transaction: When the pool records a profit distribution and SGT earns its management fee.
- Gold trade closed with commission: When a live trading order is closed and SGT earns a platform commission on that trade.
- Copy trading profit distributed: When a copy trading cycle yields profit and SGT earns an administration fee.
- Gold Store order paid: When a referred Client completes a purchase from the Gold Store.
When Ujrah Is NOT Earned
- When the Company earns zero income from an activity (e.g., a Mudarabah or Musharakah loss period).
- On deposits, withdrawals, or transfers — these do not generate Company income.
- On demo account activity — no real funds are involved.
- From referrals beyond Level 2.
- If the referred Client's account is suspended or closed for fraud or AML reasons.
8. Ujrah Payment Process
SGT reserves the right to withhold or reverse Ujrah payments if it is determined that the underlying activity was fraudulent, that the Partner violated this Agreement, or that the Ujrah was calculated in error.
9. Partner Obligations & Code of Conduct
By participating in the SGT Partnership Programme, the Partner commits to the following:
- Honest representation: The Partner shall represent SGT's services accurately and truthfully at all times. All promotional content must fairly reflect the nature, risks, and features of SGT products.
- Risk disclosure: The Partner must not omit or downplay the risks involved in gold trading and investing. Any marketing must include a clear statement that capital is at risk and returns are not guaranteed.
- Shariah integrity: The Partner must not claim that SGT products are "risk-free", "guaranteed", or offer "fixed returns". All SGT investment products carry real profit-and-loss risk.
- Compliance with local law: The Partner is solely responsible for ensuring their promotional activities comply with the laws and regulations of their jurisdiction. SGT does not authorise any activity that would be unlawful in the Partner's country.
- No impersonation: The Partner must not represent themselves as an employee, officer, or authorised spokesperson of SGT Systems unless expressly agreed in writing.
- Accurate identity: The Partner must maintain an up-to-date, verified SGT account. Using a false identity to participate in the programme is a material breach of this Agreement.
10. Prohibited Conduct
The following are strictly prohibited:
- Promising guaranteed profits, fixed returns, or risk-free outcomes to prospective clients.
- Offering personal incentives (cash, gifts, rebates) to individuals to sign up through the Partner's link.
- Creating fake accounts or self-referral schemes to generate fraudulent Ujrah.
- Using spam, unsolicited bulk email, or deceptive advertising to promote SGT.
- Misrepresenting the SGT platform, its ownership, its regulators, or its Shariah certifications.
- Using SGT's brand name, logo, or trademarks in a manner not expressly approved in writing by SGT.
- Promoting SGT services in jurisdictions where such promotion is prohibited by law.
- Sharing or selling referral links to third parties for the purpose of manipulating the Ujrah system.
- Engaging in any activity that constitutes a pyramid scheme, multi-level marketing, or chain-letter arrangement.
11. Marketing Materials
SGT provides Partners with official, pre-approved marketing materials accessible from the Referral dashboard:
- Banner images (various sizes) for websites and blogs
- Social media post templates
- Email templates
- Embeddable widgets with the Partner's referral code pre-filled
- Official product documents and Shariah certificates
Partners are encouraged to use only the materials provided by SGT. Any self-created materials must accurately represent the platform and must not contain any prohibited claims (see Section 10). SGT reserves the right to request the removal of any Partner-created content that it deems inaccurate, misleading, or in breach of this Agreement.
12. No Guarantee of Income
SGT Systems makes no representation or guarantee that participation in the Partnership Programme will result in any specific level of Ujrah income. The Ujrah earned depends entirely on:
- The number of users referred by the Partner
- The level and nature of activity those referred users engage in
- Whether those activities generate Company income (e.g., a Mudarabah loss period generates zero Ujrah)
- The applicable Ujrah rates at the time of the activity
Past Ujrah earnings of other Partners do not predict future earnings. Any promotional claim suggesting a specific income outcome is prohibited.
13. Privacy & Data
The Partner acknowledges that:
- SGT will not share the personal data of Referred Clients with the Partner. The Partner can see only aggregated statistics (number of signups, activity level, Ujrah amounts) — never the referred user's name, email, balance, or investment details.
- Referral click data (IP address, user agent) is collected by SGT for fraud prevention and analytics purposes in accordance with SGT's Privacy Policy.
- The Partner must comply with all applicable data protection laws when collecting or processing any personal data in connection with their promotional activities.
14. Termination of Partnership
14.1 Termination by Partner
A Partner may withdraw from the programme at any time by stopping the sharing of their referral link. The referral relationship with already-referred Clients remains in place; the Partner continues to earn Ujrah from those existing referrals unless they request full termination in writing via the Support system.
14.2 Termination by Company
SGT may terminate a Partner's participation in the programme immediately and without notice if:
- The Partner has engaged in any prohibited conduct (Section 10)
- The Partner's SGT account is suspended or closed for any reason
- The Partner is found to have violated applicable law in connection with their promotional activities
- SGT decides to discontinue the Partnership Programme entirely
14.3 Effect of Termination
Upon termination:
- No new Ujrah will be generated after the termination date.
- Approved Ujrah already credited to the Partner's SGT Wallet remains available for withdrawal under normal terms.
- Pending Ujrah will be reviewed on a case-by-case basis. Ujrah earned through prohibited conduct will be forfeited.
15. Amendments
SGT may amend this Partnership Agreement, including Ujrah rates, at any time with 30 days' prior notice communicated via email and/or in-platform notification. Continued use of the referral link after the effective date of the amendment constitutes acceptance of the revised terms.
SGT may change Ujrah rates with immediate effect in cases of fraud, abuse, or regulatory requirement, with a post-change notification to affected Partners.
16. Governing Principles
This Partnership Agreement is founded on Islamic principles of honest trade, transparency, and mutual benefit. Specifically:
- The Wakala (agency) framework ensures the Partner's role is clearly defined as an introducer, not a financial adviser or fund manager.
- The Ujrah (service fee) model ensures the Partner is compensated fairly for a real service rendered.
- The restriction of Ujrah to Company income (not Client funds) ensures no Client is harmed by the existence of the referral arrangement.
- The two-level cap prevents the programme from becoming a pyramid scheme, which is prohibited in Islam.
In matters not covered by this Agreement, the General Business Terms and Client Agreement of SGT Systems shall apply.
