1. Definitions
In this Agreement, the following terms have the meanings set out below unless the context requires otherwise:

| "Trading Wallet" | The dedicated wallet holding trading capital from which trade margin and AI Smart Trade service/performance fees are debited. |
| "AI Smart Trade" | The automated gold trading service placing spot gold orders into the Client's Trading Account pursuant to either an Ijarah / Ujrah service contract or a Wakalah + Ju’alah agency contract. Capital remains in the Client's Trading Wallet; AI Smart Trade is not Mudarabah. |
| "Mudarabah" | An Islamic profit-sharing contract in which the Client (Rab-ul-Mal) provides capital and the Company (Mudarib) manages the investment. |
| "Musharakah" | An Islamic joint-venture contract in which the Client and the Company share ownership, profits, and losses proportionally. |
| "Pool" | A Musharakah partnership pool operated by the Company into which Clients contribute capital. |

| "Shariah Board" | The independent Islamic scholars who review the compliance of the Company's products and operations. |
| "AUM" | Assets Under Management — the total Client capital actively managed by the Company. |
| "KYC" | Know Your Customer — the identity verification process required before certain services are accessible. |
| "Riba" | Interest or usury, which is prohibited under Islamic law and is not charged or earned on any SGT product. |
| "Hibah" | A gift. Daily Amal gold grams are a promotional Hibah, not interest, not a deposit match, and not a guaranteed return. |
| "Daily Amal" | The optional 40-day worship-and-learning module that may credit small gold-gram Hibah for completed tasks, as shown in that module. |
2. Parties & Acceptance
This Agreement is entered into between Smart Gold Trade Limited (the "Company") and the individual or entity who registers an account on the Platform (the "Client").
By registering an account, clicking "I Agree", or using any service provided by the Company, the Client confirms that they have read, understood, and agreed to be bound by this Agreement in its entirety, including all policies incorporated by reference.
3. Eligibility & Account Opening
- You must be at least 18 years of age to open an account.
- You must provide accurate, truthful, and complete information during registration.
- Each person may hold only one account on the Platform.
- You must complete KYC verification before making your first withdrawal or accessing certain investment services.
- The Company reserves the right to refuse, suspend, or close any account at its sole discretion if eligibility criteria are not met or if there is evidence of fraudulent activity.
4. Shariah Compliance Commitment
- Zero Riba: No interest, swap, or overnight financing charges apply to any account or product.
- No Leverage: Gold Trading accounts operate at 1:1 leverage only. You may only trade what you can fully fund from your balance.
- Profit & Loss Sharing: Investment products are structured on genuine profit-sharing (Mudarabah) or joint-ownership (Musharakah) — not guaranteed returns.
- Halal Assets Only: The Company trades and invests exclusively in gold and Shariah-permissible asset classes.
- Shariah compliance documents for individual plans and pools are available upon request.
5. Gold Trading Service (XAUUSD)
5.1 Contract Specification
- Instrument: XAUUSD (Gold vs US Dollar)
- Trading Unit: grams of gold. There is no lot. Volume is stated in grams to four decimal places, and prices are quoted in US dollars per gram. (A standard broker's lot is 100 troy ounces — about 3,110 grams — and is a contract for difference rather than metal.)
- Minimum Trade: $1.00. The floor is a cash amount, not a weight, so it does not move with the gold price. The smallest quantity the platform will record is 0.0001 gram.
- Commission: a declared fee of $2.00 per gram BUY and $2.00 per gram SELL, charged when the Client buys and again when the Client sells. The current rate is shown on the order screen, together with the cost of the gold and the total that will be debited, before the Client confirms the order. The Company applies no markup to the quoted price: zero spread (bid = ask = spot).
- Leverage: 1:1 (full margin required — no borrowed capital)
- Swap / Overnight Interest: Zero
5.2 Margin & Risk
The required margin equals the full position value. For example, to buy 10 grams of gold at $142.44 per gram, the Client must have at least $1,424.40 available in their account, plus the commission on those 10 grams. There is no additional borrowing or interest involved.
Gold prices fluctuate continuously. The value of an open position can decrease, and the Client may lose part or all of their invested capital.
5.3 Order Types
Market orders, limit orders, and stop-limit orders are supported. Orders are executed at the best available price at the time of execution.
5.4 Physical Allocation & Sell Restriction (5–7 Minute Window)
On every client BUY order, physical gold is allocated locally in that Client's name. The physical allocation and placement of the gold into the designated locker takes approximately 5–7 minutes. To ensure actual Shariah possession (Qabd) before resale and to prevent fictitious paper trading, the Client cannot close or sell an open position until this 5–7 minute allocation window has elapsed. Once the allocation process is complete and the position matures, the Client is free to sell or close the position at live market rates.
5.5 Demo Accounts
Demo accounts are provided with virtual funds ($10,000 by default) for practice purposes only. No real money is involved. Demo results do not guarantee equivalent live trading results.
6. Mudarabah Investment Plans
6.1 Profit Sharing
The profit split ratio (e.g., 70% Client / 30% Company) is defined per plan and disclosed before the Client invests. The Company's share represents compensation for management, not interest.
6.2 Loss Sharing
In the event of a business loss, the Client bears the capital loss proportionally (absent proven negligence or misconduct by the Company). The Company bears the loss of time and effort. This is consistent with Shariah principles — there is no guaranteed return.
6.3 Investment Cycle
Active plans have a defined cycle duration — Shams Al-Dhahab: 1 year, Qasr Al-Sultan: 3 years (historical plan Badr Al-Kamal was withdrawn on 2026-09-04 and is no longer offered). At the end of each cycle, profits or losses are calculated and distributed. Plans may be renewed or exited at cycle completion.
6.4 Early Exit
Early withdrawal before the end of a cycle may result in forfeiture of profit for that cycle. The Company will return the original capital less any attributable loss.
6.5 Contract Document
A Mudarabah contract document is available for each plan. By investing, the Client acknowledges having read and accepted the contract terms for that specific plan.
7. Musharakah Partnership Pools
7.1 Ownership & Partnership Percentage
Upon contributing to a pool, the Client acquires a proportional ownership stake (partnership percentage) in the pool's total capital. This percentage is recalculated after each new contribution or withdrawal.
7.2 Profit & Loss Distribution
Profits are distributed in accordance with the agreed profit-sharing ratio (default: 30% Company / 70% Client Partners). In the event of a loss, it is borne strictly by all partners in proportion to their capital contribution: the Company contributes a target capital stake (default: 30%) and absorbs 30% of any loss directly from its capital/wallet; client partners absorb the remaining 70% in proportion to their capital weights.
7.3 Company Capital Stake & Profit Share
The Company participates as an authentic capital partner contributing equity to the pool (target: 30%). The Company does not charge a management fee on client capital or during loss periods; instead, the Company receives its agreed share of profits (default: 30%) during profitable periods and absorbs its proportional share of losses (30%) during loss periods.
7.4 Lock-in Period
Each pool has a minimum partnership duration — Oasis of Rizq: 180 days (6 months), Jabal Al-Nur: 365 days (1 year), Bustan Al-Jannah: 1,095 days (3 years). Withdrawals are permitted only upon maturity. Early exit may result in profit forfeiture and a proportional deduction.
7.5 Transparency Reports
The Company publishes monthly transparency reports for each pool, showing sector performance, business activity, and distribution amounts. These are accessible within the Client's dashboard.
8. Gold Vault & Store
8.1 Physical Gold Ownership & Local Allocation
Gold purchased through the SGT Store, Gold Trading, or Gold Vault constitutes direct, physical gold allocated locally in the Client's name. The Client is the sole legal owner of the gold purchased.
8.2 Custody, Safe Facilities & Reserves
The Company maintains secure custody for Client-owned gold through its dedicated office locker facility and an institutional custody partnership with City Bank, with insurance coverage fully in place. The Company owns and maintains its own proprietary physical gold reserve alongside dedicated physical gold held as active trading inventory, as maintained in the Company’s official ledger and displayed on the live Company Reserves panel, distinct from Client-allocated gold.
8.3 Storage Fees
Gold vault storage is currently 100% free / waived for all platform clients until a formal Shariah Ujrah (safekeeping fee) schedule is published with advance notice.
8.4 Buyback & Allocation Window
The Company offers a buyback facility at the prevailing live market rate. Newly purchased gold undergoes the 5–7 minute local allocation and locker placement window before it becomes eligible for sale. Once allocated, gold may be sold back to cash at any time. The Company does not guarantee any specific buyback price above the prevailing market rate.
8.5 Physical Delivery
Physical delivery options may be available for eligible products. Delivery fees, timelines, and minimum thresholds apply and are disclosed at point of purchase.
9. Copy Trading
9.1 Follower
A Client who copies another trader (the "Master") is referred to as a "Follower". By activating copy trading, the Follower authorises the Platform to automatically replicate the Master's trades in the Follower's account, proportionally.
9.2 Risk
The Follower bears full trading risk. Past performance of a Master trader does not guarantee future results. The Follower acknowledges that losses may occur.
9.3 Performance Fee
Each Master sets their own performance fee when they apply to be onboarded. The rate may be lower than the cap; it is not a single global percentage for all Masters. The maximum any Master may set is 50% of the Follower's new profit above the high-water mark. The Follower sees that Master's configured rate on the Master's page before following. The fee is deducted from the Follower's profits only — not on capital and not in loss periods.
Copy Trading has no subscription fee. A marketing statement of a $0 subscription does not mean a $0 performance fee.
The Platform retains a configured share of the Master's performance-fee pool (not an additional charge on the Follower). That cut is taken from the fee the Master charged, and the Master receives the remainder. The live platform cut is disclosed on Copy Trading pages.
9.4 Unfollowing
The Follower may stop copying a Master at any time. Open positions copied from the Master will remain open in the Follower's account until manually closed or until the Master closes them.
10. AI Smart Trade Service
10.1 Product Scope & Automated Order Authorization
AI Smart Trade is an automated algorithm-driven spot gold (XAUUSD) trading service available on LIVE accounts only (DEMO accounts are ineligible). By subscribing to an AI Smart Trade plan on a trading account, the Client explicitly authorizes the Platform to automatically generate and place spot gold Buy, Close, and Modify orders directly within that account on a 1:1 unleveraged spot basis (no CFD, no short selling, zero swap). Every Buy order carries an automated stop-loss and take-profit.
The Client retains continuous ownership of all gold positions opened in their account and may take over, modify, or close any trade at their own discretion.
10.2 Plans and Fee Models
The Client may select one of two mutually exclusive plans per trading account:
- Monthly Service Plan (Ijarah / Ujrah): A fixed rental / service fee of $30.00 USD per 30 days. The fee is debited exclusively from the Client's Trading Wallet at the start of each 30-day period, starting at the moment of subscription. No profit share is charged under this plan.
- Profit-Share Plan (Wakalah + Ju’alah): An agency contract (Wakalah) with a performance incentive (Ju’alah). The Company acts as the Client's trading agent and receives an agreed performance share (as set in the subscription plan, e.g. 50% platform share) calculated strictly on new net profit above the high-water mark. The fee is debited exclusively from the Client's Trading Wallet upon the closure of each profitable trade fill. If a trade incurs a loss or if equity remains below the high-water mark, zero fee is charged. The high-water mark does not fall after losses.
10.3 Wallet Debit Rules
All AI Smart Trade fees (whether monthly Ijarah or profit-share Ju’alah) are debited directly and solely from the Client's Trading Wallet. The Main Wallet is not debited for AI Smart Trade fees. The Client is responsible for maintaining sufficient available funds in their Trading Wallet to cover recurring monthly fees or performance deductions.
10.4 Cancellation & Subscription Expiration
The Client may cancel an AI Smart Trade subscription at any time via the dashboard. Upon cancellation or expiration due to insufficient Trading Wallet balance for monthly fee collection:
- The generation and execution of new automated signals for that account cease immediately.
- All existing open gold positions remain open in the Client's account with their pre-set stop-loss and take-profit orders intact. The Company will not force-close open gold positions upon subscription termination.
- Monthly Ijarah fees are non-refundable mid-period. Profit-share Ju’alah fees are settled trade-by-trade upon fill closure and are non-refundable.
10.5 Risk Disclosure & Limitation of Liability
AI Smart Trade relies on algorithmic analysis, mathematical models, and market data feeds. Gold prices are subject to market volatility, and the Client may incur financial loss. Past algorithmic performance or backtested statistics do not guarantee future results. The service is available for LIVE accounts only (DEMO accounts are ineligible). The Company does not guarantee positive returns or capital protection under any AI Smart Trade plan.
11. Client Funds & Deposits
- All Client funds are held in segregated accounts and are not used for the Company's operational expenses.
- Deposits are accepted via the payment methods listed on the Platform. Minimum deposit amounts apply per service.
- The Company is not responsible for delays caused by third-party payment processors.
- Funds deposited into a Gold Trading account are used as margin for trades and are not invested into any Mudarabah or Musharakah product unless the Client explicitly chooses to invest.
12. Withdrawals & Payments
- Withdrawals are processed to the Client's verified payment method only. The Company will not send funds to a third party.
- KYC verification must be complete before the first withdrawal is processed.
- Standard processing time is 1–5 business days, subject to compliance review.
- The Company may delay or decline a withdrawal if there is a pending compliance review, suspicious activity, or if open positions must first be closed.
- Withdrawal fees, if any, are disclosed at the time of request.

The Company does not charge hidden fees. A complete fee schedule is available on the Platform.
13.1 Promotions & Hibah
Demo accounts show a virtual practice balance only. Daily Amal Hibah, when the module is active, is gold grams subject to KYC, task rules, and the pending-balance threshold displayed in the module — not cash and not a trading-volume credit. Any future promotional Hibah will be announced with its own terms and may be amended with notice.
14. Client Obligations
- Provide accurate, complete, and up-to-date personal information at all times.
- Keep login credentials, passwords, and two-factor authentication codes confidential. Do not share account access with third parties.
- Notify the Company immediately if you suspect unauthorised access to your account.
- Use the Platform only for lawful purposes. Do not use it for money laundering, fraud, or any activity prohibited by applicable law.
- Accept that gold prices are volatile and that trading and investing carry inherent risk of loss.
- Not attempt to manipulate prices, exploit system errors, or engage in abusive trading practices.
15. Company Rights & Obligations
15.1 Company Rights
- The Company may suspend or close an account with immediate effect if it detects suspicious activity, fraud, or violation of this Agreement.
- The Company may refuse any transaction or order if it would breach applicable law or internal risk controls.
- The Company may update the Platform, add or remove services, and modify fee structures with prior notice to Clients.
15.2 Company Obligations
- Maintain the Platform with a target uptime of 99% and notify Clients of planned maintenance in advance.
- Segregate Client funds from Company operational funds at all times.
- Publish transparency reports for investment products on a regular basis.
- Not provide personalised financial or investment advice. Information on the Platform is for educational purposes only.
16. Risk Disclosure Summary
- Market Risk: Gold prices can fall significantly and rapidly due to macroeconomic events, geopolitical developments, or changes in supply and demand.
- Liquidity Risk: In extreme market conditions, it may not be possible to close a position at the desired price.
- Investment Risk: Mudarabah and Musharakah products do not guarantee any return. Profit distributions depend on actual business performance.
- Operational Risk: System downtime, technical failures, or communication errors may affect the ability to place or close orders.
- Regulatory Risk: Changes in applicable laws or regulations may affect the availability of certain services in your jurisdiction.

17. Complaints & Dispute Resolution
- Clients may submit a complaint via the Support Ticket system available in their dashboard.
- The Company will acknowledge the complaint within 2 business days and provide a full response within 5 business days.
- If a complaint cannot be resolved satisfactorily, the Client may escalate to the Company's Shariah Advisory Board for matters relating to Islamic finance compliance.
- Any dispute that cannot be resolved amicably shall be referred to binding arbitration under rules mutually agreed upon by both parties.
18. Amendments & Termination
18.1 Amendments
The Company may amend this Agreement at any time. Material changes will be notified to Clients via email or Platform notification at least 30 days in advance. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Agreement.
18.2 Termination by Client
The Client may close their account at any time by submitting a request through the support system. All open positions must be closed and all active investments must have completed their cycle before the account can be fully closed.
18.3 Termination by Company
The Company may terminate this Agreement with 30 days' written notice. In cases of fraud, breach, or illegal activity, termination may be immediate. Upon termination, any remaining client balance will be returned after deducting outstanding fees.
18.4 Governing Principles
This Agreement is governed by Islamic finance principles as interpreted by the Company's Shariah Advisory Board, alongside applicable commercial law. Any matters not covered by this Agreement shall be resolved in accordance with general Islamic jurisprudence and good commercial practice.
